These Terms of Use ("Terms") apply to your access to and use of the RapidRFP.ai platform, websites, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Use of Service
RapidRFP.ai provides AI-powered tools to help organizations parse questionnaires, manage RFP workflows, and generate draft responses. You agree to use the Service only in compliance with these Terms and all applicable laws.
2. Accounts
You must register an account to access certain features. You agree to provide accurate information, maintain the confidentiality of your credentials, and accept responsibility for all activity under your account.
3. User Content
You may upload documents, data, and other content ("User Content") with or without use of external integrations. You retain ownership of User Content. You grant the Service a license to process and store User Content solely to provide and improve the Service. We do not use User Content to train any AI models.
4. AI-Generated Output
The Service may generate AI-based suggestions or responses ("AI Output"). AI Output may be incomplete, inaccurate, or outdated. You are responsible for reviewing AI Output before using it. No professional, legal, or compliance advice is provided.
5. Acceptable Use
You agree not to:
- Upload content without proper authorization
- Violate privacy, confidentiality, IP, or contract obligations
- Attempt to bypass usage limits, rate limits, or credits
- Use bots, scrapers, or unauthorized automation
- Interfere with security, performance, or system integrity
Violations may result in suspension or termination.
6. Privacy, GDPR, and Security
Your use of the Service is subject to our Privacy Policy.
RapidRFP is designed with industry-standard security controls consistent with SOC 2 principles, including secure data handling, access controls, encryption in transit, and operational safeguards.
For users in the European Economic Area, the Service processes personal data based on:
- Contract performance
- Legitimate interest (platform functionality and security)
- User consent where required
You may request access, correction, or deletion of personal data as described in our Privacy Policy.
7. Data Retention
User Content and personal data are retained only for as long as necessary to:
- Provide the Service
- Maintain account records
- Meet legal, regulatory, or security obligations
Upon account closure, User Content may be deleted after a 30-Day rentention period, unless applicable law requires longer storage. You may request deletion where legally permitted. Backups may persist temporarily as part of routine security and disaster recovery procedures.
8. Fees and Billing
Paid plans, usage limits, and overage fees are outlined on the pricing page. By subscribing, you authorize recurring charges to your payment method. Trials may convert to paid plans unless canceled. You agree to pay the overage fees no later than the specified due date in the generated invoice.
9. Service Modifications
We may update, modify, or discontinue features at any time. We do not guarantee uninterrupted or error-free operation.
11. Intellectual Property
All platform software, features, trademarks, and content (excluding User Content) are the exclusive property of the Service operator. You receive a limited, revocable license to use the Service.
12. Termination
We may suspend or terminate access for violations of these Terms or non-payment. Upon termination, your right to use the Service ends and data may be deleted after the 30-Day rentention period.
13. Disclaimers
- The Service is provided "as is" and "as available."
- We disclaim warranties of accuracy, completeness, merchantability, or fitness for a particular purpose.
- AI Output may contain errors.
14. Limitation of Liability
To the fullest extent permitted:
- Total liability is limited to the fees you paid in the previous 6 months
- No indirect, special, incidental, or consequential damages are covered
- We are not responsible for lost data, profits, or business interruption
- We are not liable for any damages, losses, or disruptions arising from the actions, failures, or policy violations of third-party services or providers integrated with or used by the Service. Your use of any third-party tools is subject to their respective terms, policies, and performance.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, excluding its conflict-of-law rules.Any disputes shall be resolved in the courts of the Wyoming, United States of America.
16. Indemnification
You agree to indemnify, defend, and hold harmless the Service, its operators, affiliates, and personnel from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Service
- Your User Content
- Your violation of these Terms
- Your infringement of any third-party rights
This obligation survives termination of your account and use of the Service.
17. Dispute Resolution
Any dispute must first be addressed through good-faith negotiation. If unresolved, disputes will be handled in the courts of Wyoming, unless arbitration is required by applicable law. Class actions are waived.
18. Changes to Terms
We may update these Terms at any time. Continued use of the Service after updates constitutes acceptance.

Terms of Service - Addendum for AI Features
1. AI-Powered Services
Our Service utilizes artificial intelligence ("AI") technologies, including models provided by third parties. You acknowledge that:
- Probabilistic Nature: AI systems are probabilistic and may generate incorrect, inaccurate, or biased information. The Service may "hallucinate" facts.
- No Reliance: You agree not to rely on the Output for professional advice (including legal, medical, or financial advice). You are solely responsible for reviewing and verifying the accuracy of any Output before using it.
- Suitability: We make no warranty that the Output will be suitable for your specific needs or that it will be free from intellectual property infringement claims (e.g., copyright)
2. Content and Ownership
- Input: You retain all ownership rights to the text, data, and files you upload to the Service ("Input").
- Output: Subject to your compliance with these Terms, we hereby assign to you all our right, title, and interest in and to the content generated by the Service in response to your Input ("Output").
- License to Us: You grant us a worldwide, non-exclusive, royalty-free license to host, copy, and use your Input solely for the purpose of providing the Service to you.
3. Data Privacy & Model Training (Privacy Commitment)
- No Training on Customer Data: We respect your proprietary data. We will not use your Input or Output to train, fine-tune, or improve our proprietary artificial intelligence models or the foundational models of our third-party providers.
- Data Isolation: Your Input is processed solely to generate the requested Output and to maintain the immediate functionality of the Service.
4. Restrictions on Use
In addition to the general Acceptable Use Policy, you agree not to:
- Use the Service to generate content that promotes hate, harassment, self-harm, violence, or illegal acts.
- Model Distillation: Use the Output to develop, train, or fine-tune any competing machine learning models, algorithms, or AI systems.
- Reverse engineer the prompts or underlying logic of the AI Service.
- Abuse, manilpulate or hack the RapidRFP.ai system and related service in anyway to cause outages, overage or shutdown of services to it's customers.
5. Third-Party Infrastructure & Flow-Down Terms
Our Service is built upon a stack of third-party infrastructure providers. By using our Service, you acknowledge that your data may be processed by these providers and agree to comply with their respective policies where applicable:
- AI Models: The AI generation is powered by Google Gemini, Open AI and HuggingFace. You agree to comply with respective policies and the licenses associated with them.
- Infrastructure & Hosting: Our services are hosted and processed using Google Cloud Platform (GCP), Vercel, and Render.
- Database Services: Data storage is managed via NeonDB and Neo4j.
- Service Availability: You acknowledge that a service interruption at any of these third-party providers (e.g., a Google Cloud outage) may render our Service temporarily unavailable, and such downtime shall not constitute a breach of this Agreement.
6. Limitation of Liability for AI
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL LIABILITY FOR ANY DAMAGES RESULTING FROM YOUR RELIANCE ON THE ACCURACY OR COMPLETENESS OF THE AI-GENERATED OUTPUT.
